Mujtahid Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of the Mujtahid platform and related services (collectively, the "Services") provided by Mujtahid ("Mujtahid", "we", "us", or "our").

Mujtahid is a multi-tenant education management software platform made available to private schools, training centers, institutes, and similar educational organizations operating in Morocco (each, an Organization). Each Organization uses the Services within a logically isolated tenant or workspace.

Mujtahid is only a software provider. Mujtahid does not operate any school or institute, does not provide teaching services, and does not make pedagogical, admissions, disciplinary, employment, accounting, or management decisions on behalf of any Organization.

• Organization means the private school, training center, institute, academy, or similar educational body subscribing to the Services.
• Principal means the Organization's designated administrative representative with authority to bind the Organization, administer the tenant, and assign access to assistants, teachers, students, and other authorized users.
• Tenant means the dedicated and logically isolated Organization workspace hosted within Mujtahid.
• User means any person authorized to access the Services under an Organization account, including principals, assistants, teachers, students, and staff.
• Organization Data means all data, documents, content, records, files, communications, class data, student records, staff records, payment records, and other materials uploaded to or generated within the Organization's tenant.
• Data Controller means the Organization as the entity that determines the purposes and essential means of processing personal data within its tenant under Law No. 09-08.
• Data Processor or Service Provider means Mujtahid, which processes personal data on behalf of the Organization for the purpose of providing the Services, subject to these Terms and any applicable data processing instructions.

By registering an account, creating a tenant, accessing the Services, or using the Services on behalf of an Organization, the Principal, the Organization, and each User agree to be bound by these Terms.

If you accept these Terms on behalf of an Organization, you represent that you have authority to do so. If you do not agree to these Terms, you must not access or use the Services.

The Principal represents and warrants that they are duly authorized to act for and legally bind the Organization in connection with the Services.

• create and administer the Organization tenant and branches;
• manage staff and user access;
• create, update, import, and organize student and staff records;
• upload educational content and manage classes;
• manage workflows relating to attendance, communications, payments, billing, and related administration;
• accept legal terms, payment obligations, and data processing arrangements on behalf of the Organization.

Mujtahid may rely on the Principal's representation of authority unless and until the Organization provides written notice, supported by reasonable evidence, that the Principal no longer has such authority.

Each Organization is solely responsible for its tenant, branch configuration, users, permissions, workflows, and all activities occurring through its accounts.

• keep account, billing, and contact information accurate;
• keep credentials secure and require Users to do the same;
• promptly revoke access for any departed, suspended, or unauthorized person;
• assign roles and permissions responsibly based on the Organization's internal governance;
• monitor use of the Services within its tenant and address misuse or unauthorized access promptly.

Each Organization's tenant is logically separated from other tenants. No Organization or User may access, attempt to access, infer, query, extract, test, scrape, or interfere with another Organization's data, tenant, or configuration.

The Services may be used only by duly organized educational institutions and their authorized Users for lawful educational, administrative, financial, communication, and operational purposes.

The Organization is solely responsible for compliance with all laws applicable to its activities, including laws and regulations relating to education, labor, consumer protection, accounting, e-commerce, taxation, and personal data protection in Morocco.

• use the Services for unlawful, fraudulent, deceptive, abusive, or harmful purposes;
• attempt unauthorized access to any tenant, account, or dataset;
• scrape, copy, extract, or systematically harvest data from the Services;
• bypass technical limits, rate limits, authentication, or access controls;
• introduce malware, harmful code, or destructive content;
• use the Services in a way that creates security, regulatory, or reputational risk for Mujtahid, another Organization, or any data subject.

Mujtahid supports principal, assistant, teacher, and student roles. These are software access categories only. The Organization remains solely responsible for assigning roles, defining internal authority, supervising users, and revoking access when needed.

The Principal is responsible for supervising assistants and other administrative users. The Organization bears responsibility for actions taken by its users inside the tenant, including data entry, communications, class management, educational records, payment records, and administrative decisions.

As between Mujtahid and the Organization, the Organization owns and remains responsible for its Organization Data. The Organization grants Mujtahid a limited right to host, store, copy, back up, transmit, display, and otherwise process Organization Data only as necessary to provide, secure, maintain, support, and improve the Services and to comply with legal obligations.

• it has all rights, permissions, notices, and legal authority necessary to upload and use the Organization Data;
• the Organization Data and uploaded content do not violate any law, contract, confidentiality duty, or third-party right;
• the Organization remains solely responsible for the legality, accuracy, quality, and appropriateness of all data and content it uploads or causes to be uploaded.

The Services may involve personal data relating to students and minors. The Organization is solely responsible for determining whether and how such data may lawfully be collected, uploaded, used, disclosed, or otherwise processed.

The Principal and the Organization must ensure that all required notices, consents, parental permissions, guardian authorizations, and CNDP-related formalities have been completed where required by law, especially for minors, student records, educational content, photographs, behavioral notes, and payment records.

Mujtahid may rely on the Principal's and the Organization's representations that the necessary permissions and legal bases have been obtained.

The Organization agrees to pay all subscription fees, implementation fees, add-on fees, taxes, and other charges described in the applicable order form, invoice, pricing page, or commercial agreement.

• subscriptions begin on the effective date of the applicable order and renew for successive terms unless cancelled under the agreed renewal rules;
• fees are billed in advance unless a written commercial agreement states otherwise;
• amounts paid are non-refundable except where mandatory law requires otherwise or Mujtahid expressly agrees otherwise in writing;
• late payments may result in interest, collection costs, service restriction, or suspension to the extent permitted by law;
• the Organization remains responsible for all taxes, duties, and governmental charges other than taxes on Mujtahid's net income.

If the platform includes tools for tuition, payment tracking, receipts, or fee workflows, those tools are software functionality only. The Organization remains solely responsible for fee setting, accounting, tax handling, refunds, collections, and compliance with Moroccan financial and consumer requirements.

Mujtahid may suspend, restrict, or terminate access to all or part of the Services immediately, with or without prior notice, if Mujtahid reasonably believes there is a breach of these Terms, non-payment, misuse, abuse, fraud, suspicious activity, security risk, legal risk, sanctions risk, or reputational risk.

Upon termination or expiration, Mujtahid may disable access and delete or anonymize Organization Data after a reasonable export or transition period, subject to legal obligations, backup cycles, dispute preservation needs, and documented retention practices.

The Services, including the software, design, architecture, interfaces, documentation, trademarks, and all related intellectual property rights, remain the exclusive property of Mujtahid and its licensors.

These Terms grant the Organization only a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable subscription term for internal educational and administrative use.

Mujtahid may update, modify, remove, limit, or discontinue any feature, workflow, integration, or part of the Services at any time. Maintenance, upgrades, emergency changes, outages, and interruptions may occur.

Mujtahid does not guarantee uninterrupted, error-free, or always available service.

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.

Mujtahid is not responsible for school operations, teaching quality, pedagogy, admissions, discipline, staff management, employment matters, internal policies, parent disputes, student disputes, safeguarding decisions, or any Organization decision made through or outside the platform.

To the maximum extent permitted by law, Mujtahid and its affiliates, officers, employees, contractors, and licensors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, data, goodwill, or opportunity arising out of or related to the Services or these Terms.

To the maximum extent permitted by law, the aggregate liability of Mujtahid arising out of or related to the Services or these Terms will not exceed the total fees actually paid by the Organization to Mujtahid for the Services during the twelve months preceding the event giving rise to the claim.

The Organization shall defend, indemnify, and hold harmless Mujtahid and its affiliates, officers, employees, contractors, and licensors from and against claims, losses, liabilities, damages, judgments, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or related to the Organization Data, the Organization's use of the Services, violation of law, failure to obtain required permissions or consents, or disputes involving students, parents, guardians, staff, regulators, or third parties.

These Terms are governed by the laws of the Kingdom of Morocco. Any dispute arising out of or relating to these Terms or the Services shall be submitted to the competent courts of Morocco, subject to any mandatory legal rules to the contrary.

Mujtahid may amend these Terms from time to time. Updated Terms will become effective when posted or otherwise communicated. Continued use of the Services after the effective date of revised Terms constitutes acceptance of the revised Terms.
